1. Core Services & Third-Party Advertising Disclaimer

RootFlash Technology provides professional digital advertising management services including but not limited to Meta Ads (Facebook/Instagram), Google Ads, LinkedIn Ads, and other programmatic platforms. We help clients run, optimize, and monitor their ad campaigns. However, we do not manufacture, develop, sell, or endorse the underlying products/services that our clients advertise. We are solely an ad operations & management partner.

CRITICAL LIABILITY WAIVER – Ad Platforms & Client Products

RootFlash Technology shall not be held responsible for the quality, safety, legality, performance, delivery, refunds, or any issues related to the products or services promoted via third-party ads (including Meta, Google, TikTok, etc.). Any dispute regarding the advertised product/service is solely between the client (advertiser) and the end customer. We are not liable for ad platform policy violations, account bans, or algorithmic changes by Meta/Google. Clients assume full responsibility for their offers, landing pages, and compliance with advertising laws.

2. Payment Terms, Security Advance & Project Completion Rules

50% Security Advance Requirement: For all projects (development, ad management setup, software creation, or IT consulting), the client must pay a non-negotiable 50% security advance of the total project cost before any work begins. This advance secures our resources and commitment.

⚠️ Half-Project Completion Clause: If the client fails to provide the 50% advance payment, RootFlash Technology reserves the right to not initiate or continue the project. Furthermore, if half of the project is completed (50% delivery) and half of the agreed timeline/days have passed, but the client has not paid the remaining balance or provided the advance, we will immediately halt all further work. The project will not be completed, and no further deliverables will be released until full payment compliance. No refunds for work already performed.

Extra Services & Package Upgrades: If a client requests additional services, features, ad channels, or expanded scopes beyond the original package agreement, they shall pay an extra amount as determined by RootFlash Technology based on hourly rates or fixed add-on fees. No additional services will be rendered until the extra payment is confirmed.

Zero Tolerance – Abuse & Project Termination: In the event a client (or their representative) engages in abusive behavior, harassment, threats, offensive language, or any form of disrespect toward RootFlash Technology employees, partners, or support staff, we reserve the unilateral right to reject, cancel, or terminate the project immediately without any refund of paid amounts (including advance). The project will be closed, and we will not be obligated to deliver any further work. Professional conduct is mandatory.

3. Subscription Software – 3 Months Advance Security Payment & 90-Day Refund Rule

Subscription-Based Software Access: For any recurring software subscriptions, SaaS tools, or managed dashboard access provided by RootFlash Technology, the client must pay three (3) months advance security payment upfront before activation. This security deposit covers service continuity and commitment.

⏳ 90-Day Refund Waiting Period: If a client has never previously worked with RootFlash Technology (new client without prior collaboration), any request for refund of the security deposit will be processed only after 90 calendar days from the date of request submission. No exceptions. The refund will be processed via original payment method within 14 business days after the 90-day waiting period ends. This policy applies strictly to subscription security deposits.

No refunds for partial subscription months, setup fees, or if the client violates our terms (abuse, chargebacks). The 90-day window protects our operations from fraudulent disputes.

4. Data Collection & Privacy (No Selling to Advertisers)

Although we manage ads for clients, we do not sell your personal information to any third-party ad networks. We collect basic data (name, email, project requirements) only to provide our ad management and IT services. Any data used to run Meta/Google campaigns is owned by the client. We act as a data processor under client instructions. We do not use cookies for cross-site behavioral tracking for our own purposes.

  • Information collected: Contact details, billing info (processed securely), project scope, ad account access tokens (client-provided).
  • Usage data: Anonymized analytics to improve our platform.
  • No third-party ad retargeting on our own website – we only run ads for clients on external platforms.

5. Limitation of Liability – Third-Party Ad Platforms & Client Products

RootFlash Technology is not responsible for:

  • Any changes, suspensions, or bans of client ad accounts by Meta, Google, or any ad platform.
  • The actual performance of ads (CPC, ROI, conversions) – results vary based on market, creatives, and client offers.
  • Defective, delayed, or unsatisfactory products sold by the client through ads.
  • Data breaches on third-party platforms (Meta/Google).
  • Loss of ad spend due to platform errors or invalid clicks.

We provide ad management as a service "as is" – no guarantee of specific outcomes. Clients assume all risks associated with their advertising campaigns and their own products.

6. Project Halting, Inactivity & Non-Completion

If a client delays providing necessary assets (creatives, access, approvals) for more than 15 calendar days, RootFlash Technology reserves the right to pause the project. To resume, a reactivation fee (15% of remaining project value) may apply. If a client fails to pay the 50% advance, we will not start or complete any part of the project. Half-done projects where 50% of the timeline has elapsed without full payment will be considered abandoned and permanently closed.

7. Refund & Chargeback Policy

All 50% security advances and subscription advance payments are non-refundable except under the specific 90-day refund rule for new-client subscription security deposits (after waiting period). Any chargeback filed against RootFlash Technology will result in immediate termination of all services, legal action, and a lifetime ban. Clients waive the right to dispute authorized transactions.

8. Client Conduct & Communication

We expect respectful, business-like communication. Harassment, aggressive tone, threats, or attempting to manipulate staff will lead to immediate contract termination with no refunds. In case of disputes, both parties agree to first attempt mediation via email. Jurisdiction for any legal matter shall be [Your City, State] courts.

9. Subscription Renewal & Cancellation

Subscription software renews automatically every month after the initial 3-month prepaid period. Cancellation requests must be submitted at least 30 days before the next billing cycle. Security deposits (3 months advance) are returned only after final reconciliation, deducting any outstanding dues, and subject to the 90-day waiting period for new clients.

10. Updates to Policy & Acceptance

By engaging RootFlash Technology for any service (ad management, development, subscription), you explicitly agree to all terms above including: 50% security advance, half-project completion halt rule, extra payment for additional services, project termination upon abuse, 3-month subscription advance, and 90-day refund waiting period for new clients. We reserve the right to modify this policy with 15 days’ notice.
